a. Pricing and Payment

e reserve the right to accept or reject any orders. Prices are listed in USD and are subject to change at any time and without notice. Unless specified, prices listed on www.ospreybio.com or quoted by Customer Service are firm. Prices do not include the cost of freight or special packaging. Any taxes or fees required of Osprey BioScience will be charged to the purchaser. Osprey BioScience does not require a minimum order quantity. Products may be purchased online at www.ospreybio.com.

Osprey BioScience reserves the right to require partial or full upfront payment for custom or bulk orders. Purchaser may pay by credit or debit card online; or by check, wire, PayPal, or other form of payment accepted by Osprey BioScience after the submission of a Purchase Order and reception of an invoice. The purchaser will be responsible for paying bank fees associated with the issuance of any payment.

b. Delay

Osprey BioScience shall not be liable in any way for loss, liability, damage, personal injury, or expense incurred by the purchaser due to delays, errors, or omissions of information. Shipping and/or delivery dates are approximate and we shall not be liable for delays due to causes beyond our reasonable control. Failure to deliver by the specified date will not be grounds for penalties or cancellation of an order. Deliveries may be suspended in the event of: Act of God, riot, fire, flood, labor dispute, sabotage, lack of raw materials, lack of labor, compliance with government requests, breakage or failure of machinery or apparatus, or any other event not enumerated herein. Deliveries may be canceled by Osprey BioScience for any reason without liability on the part of Osprey BioScience.

c. Changes and Cancellations

Additions to an order may be subject to additional freight or packaging fees.

You must receive written authorization from Osprey BioScience in order to cancel an order. This authorization is valid for 15 days after issuance. Order cancellation will not be accepted once your order has shipped. Custom, special, or bulk orders cannot be cancelled or returned. Upon cancellation and written authorization from Osprey Bioscience, production of the order will cease and Osprey BioScience will retain all completed and partially completed products. The purchaser may be charged a cancellation fee equal to no more than the cost of the canceled purchase based on production costs already incurred by Osprey BioScience at the time of cancellation.

d. Returns and Refunds

You must receive written authorization from Osprey BioScience in order to return an order. This authorization is valid for 15 calendar days after issuance. Requests for returns, refunds, or replacements should be submitted within 15 calendar days after the purchaser’s receipt of the product. Returned products that are unusable for resale at the time of their receipt by Osprey BioScience will not be refunded regardless of whether Osprey BioScience authorized their return, except in the case of circumstances listed below. Custom, bulk, and temperature-controlled products are not returnable except in the circumstances listed below. A full refund will be provided in the case of any of the following: (1) the order was proven damaged or defective upon its receipt by the purchaser, (2) the products received differ from the products ordered by the purchaser from Osprey BioScience. No shipping charges will be credited by Osprey BioScience.

e. Shipping Policy

Orders placed Monday-Thursday at or before 4 PM ET will be shipped out the same day. Orders placed Monday-Thursday after 4 PM ET and on Friday/Saturday/Sunday will be shipped out the following business day. This applies even to orders that have selected overnight or 2-day shipping. ​Osprey BioScience shall not be liable in any way for loss, liability, damage, personal injury, or expense incurred by the purchaser due to the purchaser's failure to note Osprey BioScience's shipping policies. Osprey BioScience's failure to deliver by the specified date will not be grounds for penalties or cancellation of an order.

f. Taxes

All taxes, duties and brokerage charges are the responsibility of the purchaser.

g. Severability

If any provision of these terms and conditions becomes unenforceable in any jurisdiction due to illegality, invalidity, or for any reason as determined by a court of competent jurisdiction, in such jurisdiction only the unenforceable provision shall be held to be void only to the extent of its unenforceability. The remaining provisions and policies shall be considered severable and remain in full force and effect. To the legally permitted extent, by purchasing Osprey BioScience products, you waive any provision of law which would render void or prohibit the application of any provision hereof.

a. Warranty

Osprey BioScience warrants that products sold will meet our specifications at the date of sale. If products fail to meet specifications at the date of sale, Osprey BioScience’s sole liability shall be limited to the replacement of material(s) that does not meet specifications or a refund of the purchase price at our sole option. Osprey BioScience does not assume responsibility or liability for defects or damages incurred to the products after the date of sale, including but not limited to damages occurring during the shipping process and receipt of products by the purchaser. Osprey BioScience shall not be liable for direct or indirect damages arising from the use of the product, even if Osprey BioScience knew of the possibility of such damages.

Except as stated above there are no warranties for Osprey BioScience products.

b. Limitation of Liability

The burden for safe use in handling our products rests entirely with the purchaser. Osprey BioScience does not assume responsibility or liability for direct, indirect, or consequential damages associated with the use of our products, whether in contract, in tort, under any warranty, in negligence or otherwise, beyond the return of the amount of the purchase price paid by the purchaser, at our sole option. The limitation on actions arising out of a purchase is one (1) year after the date of the purchase. No action, regardless of form, arising out of the purchase of a product may be brought by the purchaser more than one (1) year after the date of purchase.

a. Authorized Uses

The purchase of Osprey BioScience product(s) grants to the purchaser a non-transferable research-use-only license to use the purchased amount of the product and components of the product in research conducted by the buyer (whether the license is Discounted or Undiscounted, as defined in Section 5). The buyer cannot sell or otherwise transfer (a) this product (b) its components (c) materials made using this product or its components or (d) information pertaining to the proprietary sequences of Osprey Bioscience to a third party or otherwise use this product or its components or materials made using this product or its components for Commercial Purposes (defined below). The buyer may transfer information or materials made through the use of this product to a scientific collaborator, provided that such transfer is not for any Commercial Purpose, and that such collaborator agrees in writing (a) to not transfer such materials to any third party, and (b) to use such transferred materials and/or information solely for research and not for Commercial Purposes You also agree not to reverse engineer, distribute, or resell our products and/or replicates thereof in any form to third parties, or to disclose any patentable, copyrightable, or other intellectual property material contained therein.

b. Osprey Patents and Intellectual Property

Osprey Bioscience retains full ownership and intellectual property rights, including but not limited to any relevant patents or copyrights, concerning their products containing in-house proprietary constructs and proprietary technologies, including any and all relevant sequences. Customers retain all ownership and intellectual property rights in all data, inventions, improvements, designs, programs, formulas, know-how, and writings generated or discovered due to use of Osprey BioScience product(s).

c. Commercial Purposes

“Commercial Purposes” means any activity by a party for consideration and may include, but is not limited to: (1) use of the product or its components in manufacturing; (2) use of the product or its components to provide a service, information, or data; (3) use of the product or its components for therapeutic, diagnostic or prophylactic purposes; or (4) resale of the product or its components, whether or not such product or its components are resold for use in research.

a. Qualifications

The licenses included with Osprey BioScience products fall under one of two license types: (1) Commercial Research and (2) Academic. One of these two license types can be selected for each product at the time of purchase under the title 'License Type.' By selecting the Discounted License, you are certifying that:
     i. You are acting in an individual capacity;
    ii. You are a university or other institution of higher education located in any country;
   iii. You are tax-exempt corporation as described in section 501(c)(3) of the Internal Revenue Code of 1986 or would qualify as such if you were located in this          country;
    iv. You are a nonprofit scientific or educational organization qualified under a nonprofit organization statute of a state in the United States of America; or​
